Terms

Draft for review. This page is placeholder wording prepared to be reviewed and replaced by Clinician Marketing and its legal counsel. It is not legal advice and is not yet binding on anyone.
1. These terms
These terms govern use of this website and describe, in plain language, how our service guarantees are intended to work. The agreement you sign for a specific engagement controls if it conflicts with anything here.
2. Service guarantees
We offer two guarantees. Only one applies to a given engagement: the return on ad spend guarantee for paid advertising, or the page-one ranking guarantee for search. Both depend on conditions set out below, because both measure outcomes we can only influence when the measurement itself is sound.
2.1 Return on ad spend guarantee — 4.25x
- What is measured. Revenue attributed to leads generated by the advertising campaigns we manage, divided by the advertising spend in the same period. Attribution uses the tracking and CRM configuration we implement during the build.
- Over what period. A measurement window of [NUMBER] consecutive months, beginning after a ramp-up period of [NUMBER] days from the date campaigns first serve impressions. Ramp-up is excluded from the calculation.
- What the remedy is. If measured return is below 4.25x across the measurement window, we continue to manage the advertising account with our management fee waived until the trailing-window return reaches 4.25x, for up to [NUMBER] additional months. Advertising spend remains payable by you throughout, as it is paid to the advertising platforms and not to us.
- What you must do. Maintain the agreed minimum monthly advertising budget, keep the tracking and CRM configuration we implement in place, respond to leads within the agreed timeframe, record outcomes and revenue in the CRM, and not materially change services, pricing or geography mid-window without agreement.
- What is excluded. Periods in which tracking is broken, disabled or altered without our agreement; periods in which leads are not worked; advertising platform outages, account suspensions or policy actions outside our control; and revenue from channels we do not manage.
2.2 Page-one ranking guarantee
- What is measured. Position of an agreed list of keywords in unpaid Google search results, measured for the agreed location and device profile. The keyword list is agreed in writing before work begins and is attached to your agreement. The guarantee applies to those keywords only.
- Over what period. Rankings are checked monthly. The guarantee period is [NUMBER] months from the date the optimized pages are published.
- What page one means. Appearing within the first ten unpaid organic results, or within the local map pack, for the agreed keyword, location and device profile.
- What the remedy is. If [NUMBER or percentage] of the agreed keywords have not reached page one by the end of the guarantee period, you stop paying the search engine optimization portion of your fee, and we continue the work at no charge until that threshold is met.
- What you must do. Publish the content and technical changes we recommend within a reasonable time, keep them live, give us the access we need to the website and search console, and not make conflicting changes without telling us.
- What is excluded. Keywords added after the list is agreed; periods where recommended changes are not implemented or are reversed; search engine algorithm changes, manual actions or penalties resulting from activity we did not carry out; and site downtime or migrations outside our control.
3. Advertising spend
Advertising spend is not included in any plan. It is paid by you directly to the advertising platforms. You own the advertising accounts.
4. Fees and term
Fees, the initial term and the notice period for your engagement are set out in your agreement. Monthly fees are billed in advance. Engagements continue month to month after the initial term unless cancelled with the agreed notice. [Confirm initial term and notice period.]
5. Your material and our work
You keep ownership of your brand, content and data. On full payment, you own the website, written content and campaign assets we produce for you. We keep ownership of our underlying methods, templates and tools, and may describe the engagement in general terms as a case study unless you ask us not to.
6. Health information
Our marketing services are designed so that we do not receive protected health information. The forms on this website collect contact details only. Where an engagement requires a vendor to handle information that may be protected health information, we put a business associate agreement in place before that happens. We are not your compliance counsel, and you remain responsible for your own regulatory obligations. See our privacy notice.
7. Limits
We do not guarantee any specific number of patients, admissions or revenue beyond the guarantees described above. Nothing on this website is clinical, legal, tax or financial advice. [Liability cap and indemnity wording to be supplied by counsel.]
